These Terms and Conditions (“Terms”) govern your use of ClientDeskAI.com (the “Site”) and the services, software, and subscriptions we provide (the “Services”). By accessing or using the Site or Services, you agree to these Terms.
If you are using the Services on behalf of a business, you represent you have authority to bind that business to these Terms.
1) Services Overview
ClientDeskAI provides AI-powered receptionist and automation services (which may include call answering, routing, booking, SMS/email follow-ups, call summaries, transcripts, and CRM notes). Features vary by plan and configuration. We may modify, update, or discontinue features at any time.
2) Call Recording & Transcription (Default)
All calls are recorded and transcribed by default. You acknowledge and agree to this by using the Services.
You are solely responsible for complying with all laws and regulations governing call recording, consent, disclosure, and retention in all applicable jurisdictions.
3) Required Call Disclosure Language
ClientDeskAI strongly recommends the following disclosure be spoken at the start of calls:
“This call may be recorded and transcribed for quality and service purposes.”
You may customize this disclosure, but you remain solely responsible for ensuring it satisfies all legal requirements for your situation.
4) Account Responsibility
- You will provide accurate account and billing information.
- You are responsible for keeping credentials secure.
- You are responsible for all activity, communications, and usage charges generated by your account and configuration.
5) Billing Cycle Definition
Your billing cycle begins on the date of your initial subscription purchase. Recurring monthly charges are billed on the same calendar day each month (or the nearest feasible processing day if a given month does not contain that day).
6) Fees & Usage Charges
Subscription fees are billed in advance on a recurring basis. Certain features may generate usage-based charges (including but not limited to call minutes, SMS segments, voice synthesis, transcription, and email volume). You are responsible for all fees and usage charges incurred by your account.
7) 30-Day Money-Back Guarantee (First-Time Clients Only)
First-time clients are eligible for a 30-day money-back guarantee on their first month of service only. Refund requests must be submitted to [email protected] within the first 30 days of the initial subscription purchase.
This guarantee does not apply to subsequent months, and does not cover usage-based charges, add-ons, third-party pass-through costs, or custom work (unless required by law or explicitly stated otherwise).
8) Cancellation Policy (Strict Timing)
You may request cancellation by emailing [email protected].
- Any cancellation request after the first month (and any request to avoid charges for the next recurring billing cycle) must be received at least 5 days prior to the next billing date.
- If a cancellation request is received less than 5 business days prior to the next billing date, you agree you will be charged for the following month, that charge is non-refundable, and your cancellation will take effect after that billed month (with no further charges thereafter).
9) No Refunds After First Month
Except for the first-month money-back guarantee for first-time clients, all monthly subscription fees are non-refundable, including charges that occur due to cancellation requests received less than 5 business days prior to the next billing date.
10) Acceptable Use
You may not use the Services to:
- Violate laws or third-party rights
- Send spam or unlawful/harassing communications
- Distribute malware or attempt unauthorized access
- Interfere with platform operation or other customers’ use
- Use the Services for deceptive or fraudulent purposes
11) AI Output Disclaimer
AI systems may produce inaccurate or unexpected outputs. You are responsible for reviewing and validating outputs (appointments, summaries, notes, messages, etc.) before relying on them.
12) Intellectual Property
ClientDeskAI owns the Services, software, and related intellectual property, excluding Customer Content. You receive a limited, non-exclusive, non-transferable right to use the Services during your active subscription.
13) Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLIENTDESKAI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
15) Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles. Any dispute will be brought in state or federal courts located in Florida, unless otherwise required by law.
